Speculite Terms of Use

These Terms of Use ("Terms") govern your access to and use of Speculite, including our website, interfaces, applications, APIs, smart contract integrations, and related services (collectively, the "Services"). By accessing or using the Services, you agree to these Terms. If you do not agree, you must not use the Services.
1. Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction, if higher) and legally able to enter into binding contracts to use the Services. If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.
2. Scope of Services
Speculite provides interfaces for users to view information, create and trade prediction-market positions, and interact with blockchain-based smart contracts. We do not provide investment, legal, tax, or financial advice. Any prices, probabilities, or market data shown in the Services are for informational purposes and are not recommendations.
We may change, suspend, or discontinue all or part of the Services at any time, including market functionality, integrations, or available assets.
3. Non-Custodial Wallet Use
The Services are non-custodial. You use your own wallet and private keys. Speculite does not hold custody of your wallet credentials, cannot recover private keys, cannot reverse blockchain transactions, and cannot guarantee that any transaction will succeed.
You are solely responsible for wallet setup, key security, transaction review, and protection against phishing, malware, social engineering, and other security risks.
4. Prediction Markets and Resolution
Market rules are shown on each market page and are incorporated into these Terms. By participating in a market, you accept that market's specific rules, resolution criteria, and timing.
Markets are generally designed to resolve automatically based on designated oracle and on-chain data. However, if a market cannot be automatically resolved due to technical or oracle issues (including, for example, trading halts, unavailable market data, delayed oracle updates, or smart contract execution failures), the Speculite admin team may resolve the market using the best available objective data consistent with the listed market rules.
Any resolution made under this fallback process is binding, subject to corrections for clear administrative or technical errors.
5. Risk Disclosure and No Guarantees
Prediction markets and digital assets are volatile and high risk. You may lose all value committed to a position. Blockchain transactions are generally irreversible and may include non-refundable network fees.
The Services depend on third-party systems (such as blockchain networks, wallet providers, RPC providers, and oracle providers). We do not control those systems and do not guarantee their uptime, accuracy, performance, security, or continued availability.
6. Compliance, Sanctions, and Restricted Use
You may not use the Services where prohibited by applicable law. You represent that you are not subject to sanctions or trade restrictions that would prohibit use of the Services, and that you will not use VPNs, proxies, or similar tools to evade legal or platform restrictions.
We may block, restrict, or terminate access where required for legal, sanctions, abuse-prevention, or risk-control reasons.
7. Prohibited Conduct
You agree not to misuse the Services. Prohibited conduct includes:
- Violating any applicable law or regulation.
- Using the Services for fraud, market manipulation, or deception.
- Attempting unauthorized access, interference, scraping, or denial of service.
- Circumventing access controls, geographic restrictions, or sanctions controls.
- Uploading or transmitting malicious code, malware, or harmful content.
- Infringing intellectual property or other rights of Speculite or third parties.
8. Fees and Taxes
You are responsible for all blockchain gas/network fees and any other applicable fees shown in the Services. You are also solely responsible for determining and paying any taxes related to your use of the Services, positions, or transactions.
9. Third-Party Services
The Services may integrate with or link to third-party services, including wallets, exchanges, data providers, oracle networks, and external websites. Your use of third-party services is governed by their terms and policies. Speculite is not responsible for third-party services or any losses arising from them.
10. Intellectual Property
Except for open-source components and third-party materials, Speculite and its licensors own all rights in the Services, including software, trademarks, design, and content. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to use the Services for lawful personal or internal business use.
11. Feedback and User Content
If you submit feedback, bug reports, suggestions, or other content, you grant Speculite a worldwide, non-exclusive, royalty-free license to use it to operate and improve the Services. You represent that you have the rights needed to submit any content you provide.
12. Suspension and Termination
We may suspend, restrict, or terminate your access to the Services at any time, with or without notice, if we believe you violated these Terms, created legal or security risk, or if required by law.
13. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, TO THE MAXIMUM EXTENT PERMITTED BY LAW. SPECULITE DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPECULITE AND ITS AFFILIATES, SERVICE PROVIDERS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR LOSS OF DIGITAL ASSETS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPECULITE'S AGGREGATE LIABILITY FOR CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED USD $100.
15. Indemnification
You agree to defend, indemnify, and hold harmless Speculite and its affiliates, officers, directors, employees, and agents from and against claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of law or third-party rights.
16. Governing Law and Disputes
These Terms are governed by the laws of the jurisdiction in which the operator of Speculite is organized, without regard to conflict of laws principles. You agree to submit disputes to the competent courts in that jurisdiction unless applicable law requires otherwise.
To the extent permitted by law, any claim must be brought on an individual basis and not as a class, collective, or representative action.
17. Changes to These Terms
We may update these Terms at any time. Updated Terms are effective when posted on this page. Your continued use of the Services after updates means you accept the revised Terms.
